Kraft Foods Inc. made a binding offer to acquire Groupe Danone's global biscuit business for $7.2 billion in cash. Danone must consult with its Works Council prior to entering into a definitive agreement. Yet, both companies believe that the transaction will close by the end of the year. Full Story

Triarc Cos. is considering whether to participate in the Wendy's auction and strongly objects to the restrictive one-year standstill clause Wendy's imposed. A standstill agreement would require Nelson Peltz to agree to refrain from purchasing additional stock in Wendy's or otherwise limit his holdings, reported The Associated Press. Nelson Peltz believes that his firm, Triarc, is "a natural, strategic buyer for the company and should be encouraged to participate in the process." Full Story, SEC Filing

Marsh Supermarkets Inc. launched a campaign to remodel 70% of its grocery stores within a year. About 65 of the chain's stores will be branded as Marsh Hometown Markets and about 40 full-service, larger stores will be branded Marsh the Marketplace, reported Indianapolis Business Journal. The U.S. dollar hovered at 26-year-lows against the British pound July 3 and remained within sight of a record low against the euro, reported Forbes.com. Full Story

Texas Roadhouse, Inc. closed on the acquisitions of nine franchised restaurants, which include seven in Indiana and one each in Kentucky and Missouri, for approximately $22.6 million. Full Story

Chinese inspectors found excessive amounts of additives and preservatives in several children's snacks, according to officials. The snacks including soft drinks, candied fruits, gelatin desserts and some types of crackers, which were removed from 70 supermarkets, department stores and wholesale markets in seven cities, reported ABC News. The Cadbury Schweppes plant in St. Catharines, Canada closed because the company outsourced the production work to other facilities it owns in the U.S. and Europe. The European Nutrition and Health Claims Regulation was enacted. As a result, no food product will be allowed to be labeled under vague or generic terms such as "good for your heart," "help lower cholesterol" or "superfood" without scientific backing, reported Nutraingredients.com. Full Story

Nearly one in three Americans abuse or become dependent on alcohol over the course of their lives, and most never seek treatment, according to research from Columbia University Medical Center in New York, reported Reuters. Full Story

Washington News

FDA signed a pact with European Food Safety Authority to share information about the safety of the food supply. The agreement will pave the way for formally sharing confidential scientific information and will help to protect the information under both regions' laws, reported Reuters. Full Story, FDA Release

The Chocolate Manufacturers Association hired Fontheim International to lobby the federal government on policy issues affecting trade in cocoa and related products, according to a disclosure form. The Hershey Co. and Archer Daniels Midland Co.'s cocoa unit are among the nine companies that are members of the group, which also includes Nestle SA and a Mars Inc. unit, reported The Associated Press. The New York Times On the Web looks at China's Xulong eel factory in the wake of last week's import alert issued by FDA that will result in the detention of farm-raised shrimp, eel, basa and dace at U.S. borders. A U.S. District Court denied a motion for a preliminary injunction that CKE Restaurants, Inc. filed against Jack in the Box Inc. seeking to have television ads supporting its new 100% Sirloin Burger taken off the air. The court found that CKE Restaurants, Inc. did not meet its burden of demonstrating that the Jack in the Box ads mislead the public about the origins of Angus beef. Full Story

Market News

California's endangered species regulator suggested slowing down the Delta pumps that deliver drinking and irrigation water to much of the state in order to protect the Delta smelt - a species of fish. State representatives are suggesting shifting water away from cotton and alfalfa farms in the San Joaquin Valley, by either changing subsidy policies or not to renewing contracts from the federally owned Central Valley Project, reported Oakland Tribune.
